These Terms of Service govern the general relationship and website usage, while specific project terms are defined in individual Statements of Work (SOW) or Service Agreements. In the event of any conflict, the specific project terms shall prevail.

4. Intellectual Property Rights

   Unless otherwise agreed in writing, all intellectual property rights in the deliverables we create for you under a service engagement, including system architectures, code, documentation, and designs, are transferred to you upon full payment. We retain the right to use generalised knowledge and methodologies gained during the engagement. All intellectual property rights in our website, including text, graphics, logos, and software, are owned by or licensed to ExoVet Limited and may not be reproduced without our prior written consent.

5. Client Obligations

   You agree to provide timely and accurate information, access to systems and personnel, and any necessary permissions required for us to perform our services. You are responsible for obtaining all necessary consents and authorisations for any third-party data or systems you provide to us. Failure to meet these obligations may result in project delays for which Exo Vet shall not be liable.

6. Fees and Payment

   Fees for services are set forth in the applicable SOW or Service Agreement. Invoices are due within thirty (30) days of the invoice date unless otherwise specified. Late payments may incur interest at the rate of 1.5% per month or the maximum rate allowed by applicable law. All fees are exclusive of applicable taxes, duties, and levies, which shall be borne by you.

7. Confidentiality

   Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of the engagement. Confidential information includes, but is not limited to, business plans, technical specifications, system architectures, financial data, and client lists. This obligation survives the termination of any agreement. We will not disclose your confidential information to any third party without your prior written consent, except as required by law.

8. Limitation of Liability

   To the maximum extent permitted by applicable law, ExoVet Limited's total liability for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. In no event shall Exo Vet be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages. This limitation applies regardless of the theory of liability.

9. Warranty Disclaimer

   Our services are provided on an "as is" and "as available" basis. We warrant that our services will be performed in a professional manner consistent with industry standards. We make no other warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted or error-free.

10. Termination

    Either party may terminate a service engagement with written notice as specified in the applicable SOW. We may suspend or terminate your access to our website immediately if you breach these Terms of Service. Upon termination, you must pay all fees due up to the date of termination. Sections 4 (Intellectual Property), 7 (Confidentiality), 8 (Limitation of Liability), and 14 (Governing Law) survive termination.
